FAQ
Is this the same as an annual report?
California's SOI serves the same function as an annual report in other states — confirming current entity information. However, it is filed every 2 years (biennial), not annually.
What happens if I miss the 90-day initial deadline?
A $250 assessment/penalty. File as soon as possible to avoid further consequences. Persistent non-filing can lead to SOS suspension.
Is this in addition to the FTB Form 568?
Yes. The SOI goes to the SOS ($20). Form 568 goes to the FTB (with $800 franchise tax). They are separate obligations to separate agencies.
